IronWill Interactive Proprietary Contributor License (IWI-PCL)

This Agreement is entered into as of Sunday, June 22, 2025, by and between IronWill Interactive Entertainment ('IWI'), formerly known as PGD Progressive Game Design, including its principal founder Joshua Herrell (Founder, Owner, and CEO) Hamza Ahmed Co-Founder and any other current contributing associates (formerly of the Game Developers Union 'GDU'), hereinafter collectively referred to as "the Company," and the undersigned individual or entity ("the Recipient").

This Agreement governs the disclosure of Confidential Information related to **any and all proprietary projects** developed by the Company to which the Recipient is granted access. This constitutes a master agreement covering all current and future work designated by IWI as falling under the IWI-PCL.

1. Definition of Confidential Information

For purposes of this Agreement, "Confidential Information" shall include all information or material that has or could have commercial value or other utility in the business in which the Company is engaged. This includes, but is not limited to, source code, game assets (2D/3D models, textures, animations, sound files), design documents, business strategies, marketing plans, financial information, development methodologies, and any other information disclosed by the Company to the Recipient, whether orally, in writing, or by any other media.

A breach of this Agreement will cause irreparable harm to the Company, for which monetary damages may be inadequate. Therefore, in the event of a breach, the Company shall be entitled to seek the following remedies:

5. Governing Law and Legal Recourse

This Agreement is governed by the laws of the State of Oklahoma and the federal laws of the United States. The Recipient acknowledges that the Confidential Information constitutes valuable trade secrets. The unauthorized acquisition, disclosure, or use of such information may constitute a federal crime under the Economic Espionage Act of 1996, specifically 18 U.S. Code § 1832 (Theft of trade secrets).
