IronWill Interactive Proprietary Contributor License (IWI-PCL)
This Agreement is entered into as of Sunday, June 22, 2025, by and between IronWill Interactive Entertainment ('IWI'), formerly known as PGD Progressive Game Design, including its principal founder Joshua Herrell (Founder, Owner, and CEO) Hamza Ahmed Co-Founder and any other current contributing associates (formerly of the Game Developers Union 'GDU'), hereinafter collectively referred to as "the Company," and the undersigned individual or entity ("the Recipient").
This Agreement governs the disclosure of Confidential Information related to **any and all proprietary projects** developed by the Company to which the Recipient is granted access. This constitutes a master agreement covering all current and future work designated by IWI as falling under the IWI-PCL.
1. Definition of Confidential Information
For purposes of this Agreement, "Confidential Information" shall include all information or material that has or could have commercial value or other utility in the business in which the Company is engaged. This includes, but is not limited to, source code, game assets (2D/3D models, textures, animations, sound files), design documents, business strategies, marketing plans, financial information, development methodologies, and any other information disclosed by the Company to the Recipient, whether orally, in writing, or by any other media.
2. Obligations of Recipient
- The Recipient agrees to hold all Confidential Information in strict confidence and to take all reasonable precautions to protect such information.
- The Recipient shall not disclose, copy, modify, reverse-engineer, or distribute any Confidential Information to any third party without the prior written consent of an authorized representative of the Company.
- The Recipient agrees to use the Confidential Information solely for the purpose of evaluation and direct, authorized contribution to the Company's projects and for no other purpose whatsoever.
3. Limited License Grant & Reservation of Rights
- Access to the Company's repositories (e.g., via GitHub) and Confidential Information is granted as a limited, revocable, non-exclusive, non-transferable license under the terms of the IWI-PCL. This license is granted solely for the purpose of direct contribution to projects as approved by the Company.
- This is a "semi-open source" / "source-available" model. Access is granted on a case-by-case basis to selected parties and contributors only. Any access or permissions granted can be revoked by the Company at any time, for any reason, without prior notice.
- The Recipient acknowledges that all code, assets, and other materials ("Contributions") developed during their involvement are the sole and exclusive intellectual property of the Company. The Recipient hereby assigns all rights, titles, and interests in any and all such Contributions to the Company.
4. Consequences of Breach
A breach of this Agreement will cause irreparable harm to the Company, for which monetary damages may be inadequate. Therefore, in the event of a breach, the Company shall be entitled to seek the following remedies:
- Immediate termination of the Recipient's access to all project materials and revocation of any permissions granted.
- Injunctive relief to prevent further disclosure or use of Confidential Information.
- Legal action to recover any and all damages incurred, including but not limited to legal fees, lost profits, and other associated costs.
5. Governing Law and Legal Recourse
This Agreement is governed by the laws of the State of Oklahoma and the federal laws of the United States. The Recipient acknowledges that the Confidential Information constitutes valuable trade secrets. The unauthorized acquisition, disclosure, or use of such information may constitute a federal crime under the Economic Espionage Act of 1996, specifically 18 U.S. Code § 1832 (Theft of trade secrets).
- Under 18 U.S.C. § 1832, anyone who knowingly misappropriates trade secrets to the economic benefit of anyone other than the owner is subject to criminal prosecution.
- Penalties for individuals can include substantial fines and imprisonment for up to 10 years.
- The Company reserves the right to cooperate fully with federal law enforcement agencies and pursue all available criminal and civil penalties in the event of such a breach.
